Introduction

Whilst it is important that the various terms and conditions are set out clearly as below, I would like to emphasise that I try to work sympathetically with all my clients. Experience has shown that most issues can be resolved by friendly discussion. I am always happy to offer advice on the various aspects of website design and publishing.

General

By ordering services from Graham Wrathmell / Wrathweb you are agreeing to the following terms and conditions. Your statutory rights are not affected by agreeing to these terms and conditions.

I reserve the right to change or modify any of the terms or conditions contained here at any time; reasonable notice of any changes will be given.

Privacy policy

Client’s personal data will be used solely for the purpose of carrying out business with the client. I will not pass personal data to any third party unless required to do so by law.

Web site design

The acceptance of a commission shall be deemed as a contractual agreement between the client and Graham Wrathmell.

I reserve the right to refuse to handle material which may be deemed offensive, illegal or controversial.

Wrathweb does not endorse any third party (including client's) web sites or content unless clearly stated, and therefore cannot be held liable or responsible for any promotion, content, service or product that is located on a third party or client's web site.

Copyright

All material, both text and images, supplied by the client and used in the construction of the client's web site, will remain the client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.

Graham Wrathmell will retain the copyright of original design & artwork, and of the layout and code of client’s web pages.

I make every effort to design pages which display acceptably in the most popular current browsers, but cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after pages have been designed.

Your website may be added to the Wrathweb design portfolio and a design credit and hyperlink to Wrathweb added to your site unless specifically requested otherwise.

Hosting

I will normally undertake to host and manage client’s websites on their behalf. The web space used will be sublet from web space purchased by me from an independent, commercial, hosting company. Although the hosting company tries to achieve 99% plus uptime, this cannot be guaranteed. Wrathweb cannot be held responsible for issues related to hosting. I will, at my discretion, publish websites to alternative servers nominated by the client provided they provide all the facilities required for the website to function properly.

Promotion

All websites will be submitted to the Google and/or Bing search engines. When submitting a new site to a search engine, it is not immediately visible, and the process can take several weeks or more.

Although I try to achieve good search engine placement, I cannot guarantee search engine rankings. I accept no responsibility or liability if any search engine, online directory or search site chooses not to list a client's web site. I will not be responsible for ongoing website promotion, unless otherwise agreed in a maintenance contract.

Pricing and schedule

I will initially place the client's website on my demonstration server during development in order that the client may view and comment upon the website's progress. When both myself and the client agree that the website meets the criteria agreed during the commissioning process, I will invoice the client for the full amount due for the commission. On receipt of payment, I will publish the website on the client's server. Where hosting payments are are more than 60 days in arrears hosting and email may be suspended or terminated. For larger sites an initial deposit or staged payment schedule may be required.

After publishing, any requests to add to, revise or update a client's website will be charged for.

The price quoted is for the work agreed at the time of commission. Should any changes be necessary as the site develops, the client will be advised of the additional cost for approval before the work commences, and if approved, will be added to the final invoice.

I accept payment by BACS, cheque, or cash within 14 days of the date on the invoice.

I reserve the right to alter prices at any time without notice. If a client has commissioned any services from me prior to a change in prices, that commission will not be subject to any increase, but any subsequent commission may be subject to an increase.

Liability

Graham Wrathmell will not be liable for loss or damage caused by any inaccuracy, omission, delay or error, whether the result of negligence or other cause in the production of the website.

It is the client’s responsibility to ensure that the website graphics, content and materials are legal. The client must indemnify Graham Wrathmell in respect of all actions, proceedings, cost demands and claims arising from illegal content.

Liability is limited to the value of the contract and expressly excludes loss or potential loss of profits that the client may incur
